Syllabus

Course Objectives


The course aims to illustrate the legal profiles of banking operations, with particular regard to the various forms of exercising credit for businesses.
Knowledge and understanding
At the end of the course, students will be able to distinguish and define the main bank financing contracts, including those aimed at acquiring bank guarantees; they will possess a basic knowledge of primary and regulatory sources, as well as the main jurisprudential interpretations. Students will also master the subject's legal terminology.
Ability to apply knowledge and understanding
At the end of the course, students will be able to:

identify the individual contracts and apply the related regulations;
understand a legal text and, specifically, the jurisprudential rulings on the matter, knowing how to contextualise the main motivational passages in the regulatory landscape;
express simple justified legal opinions on theoretical and practical cases that deal with the subject matter.

Course Prerequisites


Students must possess a good knowledge of private law and commercial law.
As the course aims are to learn an analysis method and develop logical-argumentative skills, active course attendance is strongly recommended.

Teaching Methods


The course is divided into classroom lectures in which active student participation and the ongoing linking between theory and practical application is encouraged. Students may be invited to present the available reading materials in class (especially case law and decisions by the Authorities) in order to delve further into the contents of the previous lecture.
During the course, professionals testimonials may be organised on individual in-depth topics.

Assessment Methods


The final exam will consist of an oral exam with a grade expressed out of 30. The exam, through questions related to the course content, is designed to assess: in-depth knowledge of the regulations governing financing transactions; the ability to critically analyze these regulations, including through consideration of case law; understanding the role of contractual autonomy, including in the context of financing agreements and credit protection; the ability to apply the acquired knowledge to the formulation of concrete contractual models; and the ability to master the technical and scientific language specific to the subject. Registration for the exam will take place online, through the university's computer system.

During lectures, the lecturer will indicate the parts of the reading list that will be covered in the exam.It is necessary to consult a civil code with complementary laws updated.

Contents


The course, in keeping with the content and educational objectives of the Degree Programme, aims to prepare professionals with adequate and up-to-date training, including in financial law. It analyzes the fundamental contractual models and the main legal issues in banking and financial practice. With a specialized, seminar-style approach, it will address the regulation of banking and financial contracts, analyzing both the legislative models and the typical social cases, focusing on regulatory developments and case law. It will also address the topic of credit protection, again analyzing the codified system of guarantees and the system that has developed and established itself in practice.
