Course Objectives

The teaching activity aims to achieve the general learning objectives of the Degree Course by granting the legal knowledge of the legislation pertaining to private enterprise with particular reference to the Constitution, the Civil Code and related laws. The course provides a comprehensive overview of private law, focusing on obligations and contracts. It is designed to equip students with the knowledge and skills required for their future professional roles and career paths.
At the end of the learning process, the student must demonstrate knowledge and understanding of the private law system, as well as the ability to apply the acquired expertise to a concrete case, maturing an autonomous capacity for critical analysis that allows him to elaborate and argue (with full mastery of the proper legal language) the solutions to the many legal problems that the (internal or external) involvement in the business activity can pose.

Teaching Methods

The teaching activity is based on "ex cathedra" lessons. In addition to the frontal teaching, seminars and workshops can be organized.

Assessment Methods

Consistent with the learning objectives and the expected learning outcomes as well as with the teaching methods adopted, the exam consists, at the end of the lessons and seminars, in a final oral exam consisting of 3-4 questions aimed at verifying the ability of systematic framing, the property of language, the ability to link between institutions, the clarity of exposure regarding the program to be taken to the exam. The final grade goes from 1 to 30 with honours (cum laude), according to the following modalities: 1-17, insufficient; 18-21, sufficient; 22-24, fair; 25-27, good; 28-29, very good; 30-30 with honours (cum laude), excellent.
Intermediate exam can also be programmed (however it is not mandatory and is reserved only for attending students).

In order to prepare the exam – in addition to the didactic material illustrated during the lessons –, the following textbook is suggested:

The use of an updated civil code is also fundamental. In this regard, it is recommended:
• G. PERLINGIERI e M. ANGELONE, Codice civile con Costituzione, Trattati UE e FUE, Leggi complementari e Codici di settore, ESI, Napoli, latest edition.

The Course analyses the basics concepts of Italian private law, focusing on their function and on the meaning that the rules assume in the light of the overall legal system and the constitutional values that characterize it. Particular emphasis is assigned - in accordance with the learning objectives - to the topics of obligations and contract as well as to the different profiles of liability.
